Terms of Service

1. Acceptance of Terms

By accessing or using ORO Enigma ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms constitute a legally binding agreement between you and ORO Enigma.

2. Service Description

ORO Enigma is a strategy intelligence platform for futures trading. The Platform provides tools including, but not limited to, the Strategy Composer, Enigma AI engine, Trade Lab for backtesting and optimization, Live Trading monitoring tools, and the Sync Agent for automated strategy deployment to NinjaTrader 8. The Platform is designed to assist traders in developing, testing, and deploying algorithmic trading strategies.

3. Account Registration

To use the Platform, you must create an account. You must be at least 18 years of age to register. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are solely responsible for safeguarding your account credentials and for all activities that occur under your account.

4. Subscription & Billing

ORO Enigma offers five subscription tiers: Free Trial, Basic, Level 2, Level 3, and Premium. Paid subscriptions are billed through Stripe and renew automatically at the end of each billing period. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing cycle. Refunds are not provided after the free trial period has ended.

5. Free Trial

New users may access a 7-day free trial with no credit card required. The free trial is limited to one device, two strategies, and the NQ (Nasdaq E-mini) instrument only. Once the trial expires, you must subscribe to a paid plan to continue using the Platform.

6. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble any part of the Platform.
• Share your account credentials with third parties.
• Use automated tools or scripts to scrape data from the Platform.
• Use the Platform to facilitate any illegal trading activities or to violate applicable financial regulations.
• Attempt to circumvent device limits, subscription restrictions, or security measures.

7. Intellectual Property

All intellectual property rights in the Platform, including strategy modules, indicators, algorithms, source code, and documentation, are owned by ORO Enigma and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms. Strategies you create using our modules and tools remain your intellectual property.

8. Trading Disclaimer

ORO Enigma provides trading tools and analytical software. The Platform does not provide financial advice, investment recommendations, or brokerage services. Past backtesting results do not guarantee future performance. Trading futures involves substantial risk of loss and is not suitable for all investors. You may lose more than your initial investment. You are solely responsible for your trading decisions.

9. Limitation of Liability

To the maximum extent permitted by law, ORO Enigma shall not be liable for any trading losses, data inaccuracies, platform downtime, or issues arising from third-party services including NinjaTrader, TradingView, and Stripe. The Platform is provided "as is" without warranties of any kind, express or implied. In no event shall ORO Enigma's total liability exceed the amount you paid for the Platform in the twelve months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any conduct we deem harmful to the Platform or its users. You may close your account at any time by contacting support. Upon termination, your access to the Platform ceases immediately and any stored data will be handled in accordance with our Privacy Policy.

11. Modifications

We may update these Terms at any time. Material changes will be communicated via email or a notice on the Platform. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.
